Legal Counsel (m/f/d) - Venture Capital: Berlin

We are hiring a Legal Counsel for a prominent Venture Capital firm, who will handle legal matters on funds, transactions, and their portfolio companies.

This hire will be the sole counsel for the Berlin office, which has a small legal team spread across Europe.

With investments in many leading Global businesses, you will get to support some top-tier teams on their growth path.

Tasks

  • Provide precise and timely legal guidance to the investment team across various topics, particularly on transactional documents throughout the investment process, including initial funding rounds and subsequent investments.

  • Collaborate with the General Counsel in due diligence efforts for startup investments, ensuring thorough examination of all pertinent legal aspects.

  • Conduct comprehensive research and assessment of various risk factors affecting legal decisions, identifying potential issues during due diligence and developing solution frameworks as needed.

  • Engage in negotiations for potential investment deals and manage the legal aspects of transactions and divestments, ensuring compliance and optimal outcomes.

  • Offer comprehensive legal advice related to portfolio company exits, fund administration, regulatory compliance, and general legal and compliance matters impacting daily operations.

  • Ensure alignment of ESG and compliance policies and procedures with regulatory requirements, updating and revising them to meet evolving standards.

  • Manage regulatory reporting obligations for relevant jurisdictions, ensuring timely and accurate submission of all compliance-related reports and assisting with registrations as needed.

  • Assist in developing and delivering compliance training initiatives and supporting implementing and maintaining systems, procedures, and controls to ensure ongoing compliance.

Requirements

  • 2+ years of post-qualification legal experience, ideally with exposure to private equity, venture capital, or investment management sectors and familiarity with regulated environments.

  • Fluent in both English and German languages.

  • Exhibit strong communication skills, presenting opinions and ideas in a structured manner.

  • Demonstrate robust analytical skills, capable of distilling and discerning crucial information from regulatory guidance, statutes, audit findings, and other documents to determine their impact on business operations.
